1Acceptance of Terms

By accessing and using STURMOST TECHNOLOGIES LTD services, including our website, mobile applications, software development, fintech platforms, and any other services we provide, you accept and agree to be bound by these terms and conditions. These terms apply to all users, clients, and companies who engage with our services.

3Project Terms for Companies

3.1 Project Scope: All projects begin with a detailed scope document outlining deliverables, timelines, and specifications. Changes to scope require written approval and may affect pricing and timelines.

3.2 Intellectual Property: Upon full payment, clients receive ownership of custom-developed code and materials. STURMOST retains rights to general methodologies, frameworks, and pre-existing intellectual property.

3.3 Confidentiality: We maintain strict confidentiality of all client information, business processes, and proprietary data throughout and after project completion.

3.4 Project Timeline: Timelines are estimates based on project complexity and client responsiveness. Delays caused by client feedback cycles or scope changes may extend delivery dates.

4Payment Terms

4.1 Payment Schedule: Projects typically follow a milestone-based payment structure:

25-50% deposit upon project commencement
Progress payments at defined milestones
Final payment upon project completion and delivery

4.2 Payment Methods: We accept bank transfers, credit cards, and digital payments. International clients may use wire transfers or our fintech platform.

4.3 Late Payments: We understand that payment delays can occur. We'll work with you to find a solution. If payment is significantly overdue, we may discuss a small administrative fee, but our priority is maintaining a positive working relationship and finding mutually agreeable payment arrangements.

4.4 Delayed Payout Penalties: If any project payouts are delayed, penalties will be customizably adjusted and added based on the specific circumstances and duration of the delay. These penalties will be communicated in writing and added to the outstanding balance.

4.5 Currency: All quotes are provided in USD, GBP, or local currency as agreed. Exchange rate fluctuations exceeding 5% may require price adjustments for long-term projects.

5Warranty and Support

5.1 Warranty Period: We provide a 90-day warranty on all delivered software for critical bugs and functionality issues identified in the original specification.

5.2 Ongoing Support: Post-launch support and maintenance packages are available separately. Emergency support is available 24/7 for critical systems.

5.3 Third-Party Dependencies: Issues arising from third-party services, APIs, or platform changes are not covered under warranty but can be addressed through support contracts.

6Limitation of Liability

STURMOST's liability is limited to the total amount paid for the specific project. We are not liable for indirect, consequential, or business interruption damages. Our maximum liability shall not exceed the project value or £50,000, whichever is lower.

7Payment Terms and Project Continuity

7.1 Payment Timeline: We understand that payment processing can take time. Clients are expected to pay within 30 days of project completion. We're happy to work with clients who need additional time and are always open to discussing flexible payment arrangements.

7.2 Late Payment Communication: If payment is delayed, we'll reach out to discuss the situation and find a mutually agreeable solution. We believe in open communication and working together to resolve any payment concerns.

7.3 Payment Plans: For clients experiencing financial difficulties, we offer flexible payment plans. Please contact us to discuss options that work for your situation. We're committed to finding solutions that benefit both parties.

7.4 Project Continuity: We value our client relationships and prefer to maintain project continuity. Rather than terminating projects, we work collaboratively to resolve payment issues and ensure successful project completion.

7.5 Refund Policy: If circumstances require project termination, we'll work with clients to determine fair refund arrangements based on work completed and project status. Our goal is always fairness and maintaining positive relationships.

7.6 Dispute Resolution: In the rare event of payment disputes, we prefer to resolve matters through direct communication and mediation. We're committed to finding amicable solutions that respect both parties' interests.

7.7 Non-Payment and Communication Failure: If by any chance clients start any drama of not completing payments and stop picking calls, and responding to any messages, then projects will be terminated. Refunds of the cash will be made after 5 years. This time limit will allow the company legal team to investigate. If by any chance time for developers was wasted, no money will be refunded. 8Terms Acceptance and Modifications

8.1 Acceptance of Terms: All clients are subject to the use of our terms and services. By engaging with STURMOST TECHNOLOGIES LTD services, you acknowledge that you have read, understood, and agree to be bound by these terms.

8.2 Right to Modify Terms: We reserve the rights to change the terms and privacy policy at any time without prior notice. Continued use of our services after such changes constitutes acceptance of the modified terms.

8.3 Adherence to Terms: We all adhere to the terms and conditions outlined herein. Both STURMOST and our clients are expected to comply with these terms throughout the duration of our business relationship.

8.4 Terms Suitability: If any client finds our terms not suitable, kindly do not accept to use our products or request them for development. By proceeding with our services, you confirm that our terms are acceptable to you.

9Sturformation UK Company Registration Service

9.1 Service Description: STURMOST TECHNOLOGIES LTD provides UK limited company registration services for non-UK residents through our Sturformation service. This service includes company formation, registered office address, business address services, and related compliance support.

9.2 Package Pricing: Our Non-Residents Complete Package is priced at €1,000 (one thousand euros). This is an all-inclusive fee covering company registration, Companies House filing fees, and all included services as outlined in the package description.

9.3 Payment Terms: Full payment of €1,000 is required before we commence the company registration process. Payment can be made via bank transfer, credit card, or other agreed payment methods. Once payment is received and cleared, we will begin processing your UK company registration.

9.4 Service Delivery: Upon receipt of payment and all required documentation, we will process your UK company registration with Companies House. Typical processing time is 5-10 business days, subject to Companies House processing times and completeness of provided information.

9.5 Required Information: To proceed with registration, clients must provide accurate and complete information including: proposed company name, registered address details, director and shareholder information, company activities description, and any other information required by UK Companies House regulations.

9.6 Company Name Availability: We will check company name availability as part of our service. If your preferred name is not available, we will suggest alternatives or you may choose a different name. Additional name checks may incur a small fee if multiple checks are required.

9.7 Registered Office Address: Our package includes a London registered office address service free for 12 months. This address will be used for official correspondence from Companies House and HMRC. After 12 months, renewal fees will apply if you wish to continue using this service.

9.8 Business Address Service: The package includes London business address service for 12 months. This service allows you to use our London address for business correspondence. Mail forwarding services may be available at additional cost.

9.9 Company Secretary Service: Our complete package includes full Company Secretary Service for 12 months, including a dedicated account manager, preparation and maintenance of company registers, and support for company changes.

9.10 Banking Referral: We provide a referral to Wise UK business account services. This is a referral service only. Approval, account opening, and terms are subject to Wise's own policies and procedures. We are not responsible for banking decisions made by third-party providers.

9.11 Compliance and Ongoing Obligations: Once your UK company is registered, you are responsible for ongoing compliance with UK Companies House and HMRC requirements, including annual confirmation statements, annual accounts filing, and tax obligations. We provide initial compliance support, but ongoing compliance is the company's responsibility.

9.12 Refund Policy: Due to the nature of company registration services, refunds are generally not available once the registration process has commenced. If registration cannot be completed due to reasons beyond our control (e.g., Companies House rejection, incomplete information not provided by client), a partial refund may be considered on a case-by-case basis, minus administrative costs.

9.13 Client Responsibilities: Clients are responsible for providing accurate, complete, and truthful information. Providing false or misleading information may result in company registration rejection, legal consequences, and forfeiture of fees. Clients must also ensure they are eligible to register a UK company under UK law.

9.14 Country Eligibility: Our service is available to residents of most countries. However, certain countries may have restrictions. It is the client's responsibility to verify their eligibility and comply with their home country's regulations regarding foreign company ownership.

9.15 Limitation of Liability: Our liability for the Sturformation service is limited to the service fee paid (€1,000). We are not liable for any business losses, tax implications, or legal consequences arising from the use of your UK company. We recommend consulting with qualified tax and legal advisors in your jurisdiction.

9.16 Service Modifications: We reserve the right to modify package contents, pricing, or service terms with 30 days' notice. Changes will not affect existing clients who have already paid and commenced the registration process.
